These Terms of Service ("Terms") govern your access to and use of the Prediction Pilot platform ("Service") operated by Stumptown Ventures LLC ("Company", "we", "us"), a limited liability company organized under the laws of the State of Oregon, United States.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Prediction Pilot is a read-only software tool that provides market scanning, filtering, and analytics for the Kalshi prediction market exchange. The Service provides:
The Service does not execute trades, place orders, or modify positions on Kalshi or any other exchange. All trading decisions and trade execution are performed by you directly on Kalshi. The Service is an analytics and scanning tool only.
Stumptown Ventures LLC is NOT a registered broker-dealer, investment adviser, commodity trading advisor (CTA), futures commission merchant (FCM), or financial institution under federal or state law. The Service is not registered with the U.S. Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), the National Futures Association (NFA), or any state securities or financial regulator. No such registration is required for the provision of software scanning and analytics tools.
The Service is a software tool, not a financial intermediary. We do not execute trades, place orders, hold funds, maintain custody of assets, or act as a counterparty to any transaction. The Service operates in a read-only capacity — it reads market data and, if you connect your Kalshi account, reads your portfolio data for display purposes only.
The Service does not provide financial advice, investment advice, trading advice, tax advice, or any other form of professional advice.
Scanner Results & Analytics: All scanning results, filter outputs, scores, rankings, and analytics are informational tools only. The display of any market, contract, score, or filter result does not constitute a recommendation to buy, sell, or hold any contract. Users must independently evaluate all trading decisions.
AI Strategy Builder: The AI Strategy Builder translates natural language descriptions into scanner filter configurations. It does NOT analyze market conditions, predict outcomes, assess the suitability of any strategy for your circumstances, or recommend trades. AI-generated outputs are mechanical translations of user-stated preferences into structured filter parameters — not investment analysis or advice. AI outputs may contain errors, may not reflect current market conditions, and should be independently verified before any use.
Backtesting & Simulation: Backtest results reflect how a set of filters would have performed against historical data under simplified assumptions. Past performance — whether simulated, backtested, or actual — does not guarantee future results. Simulations do not account for all real-world factors including slippage, partial fills, changing liquidity, or exchange fee changes.
Educational Content: Blog posts, articles, strategy guides, and educational materials provided through the Service are for informational and educational purposes only. They describe concepts discussed in academic and public sources. They do not constitute investment advice, trading recommendations, or solicitations to buy or sell any financial instrument.
No Suitability Assessment: We do not assess whether any strategy, filter configuration, or trading activity is suitable for your financial situation, risk tolerance, or investment objectives. You are solely responsible for determining the suitability and risks of any trading activity.
The Service does not execute trades or exercise any discretion over your account. All scanner filters, strategy parameters, and ranking weights are configured entirely by you. The Service displays scanning results and analytics — it does not place, modify, or cancel any orders on any exchange.
Non-Custodial & Read-Only. We do not hold, control, or have access to your funds. All funds remain in your Kalshi account at all times. If you provide Kalshi API credentials, they are used exclusively to read your portfolio, positions, and trade history for display in the Performance dashboard. The Service does not use your credentials to place trades, submit orders, or modify your Kalshi account in any way. You may revoke access at any time through your Kalshi account settings or by deleting credentials in the Service.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
You must be at least 18 years old and legally able to enter into contracts in your jurisdiction. You must comply with all applicable laws regarding prediction market trading, including but not limited to CFTC regulations governing Kalshi. The Service is available only to users in jurisdictions where use of prediction market software tools is lawful.
To use portfolio tracking and performance features, you may optionally provide your Kalshi API key and private key. These credentials are:
Credential security: You provide your Kalshi API credentials at your own risk. We recommend creating a dedicated API key with read-only permissions for use with the Service. You are solely responsible for: (a) the security of your Kalshi account and API credentials, (b) compliance with Kalshi's terms of service, and (c) revoking API credentials at any time through your Kalshi account settings.
Trading on prediction markets involves substantial risk of loss. You may lose some or all of your invested capital. Key risks include but are not limited to:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUMPTOWN VENTURES LLC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO STUMPTOWN VENTURES LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
IN NO EVENT SHALL STUMPTOWN VENTURES LLC BE LIABLE FOR ANY: (I) TRADING LOSSES, MISSED TRADING OPPORTUNITIES, OR FINANCIAL DAMAGES OF ANY KIND; (II) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (III) LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; (IV) DAMAGES ARISING FROM TRADES EXECUTED OR NOT EXECUTED; (V) DAMAGES ARISING FROM INACCURATE, DELAYED, OR INCOMPLETE MARKET DATA OR ANALYTICS; (VI) DAMAGES ARISING FROM AI-GENERATED OUTPUTS, SCANNER RESULTS, BACKTESTS, OR FILTER CONFIGURATIONS; (VII) DAMAGES ARISING FROM API DOWNTIME, ERRORS, OR CREDENTIAL COMPROMISE; WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) scanner results, analytics, AI outputs, or backtests will be accurate or reliable; (c) any specific trading outcome will be achieved; (d) defects will be corrected; or (e) the Service will be compatible with any third-party service or API.
You agree to indemnify, defend, and hold harmless Stumptown Ventures LLC, its officers, members, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) any trades you execute or fail to execute; (c) your violation of these Terms; (d) your violation of Kalshi's terms of service; (e) your violation of any applicable law or regulation; (f) any unauthorized access to or use of your account or API credentials; or (g) your reliance on scanner results, AI outputs, backtests, analytics, or educational content.
MANDATORY ARBITRATION: Any dispute, claim, or controversy arising from or relating to the Service or these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Portland, Oregon, or at your election, by video conference. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Small claims exception: Either party may bring an individual action in small claims court in Multnomah County, Oregon, if the claim qualifies.
Opt-out: You may opt out of this arbitration provision by sending written notice to hi@predictionpilot.io within 30 days of first accepting these Terms. The opt-out notice must include your name, account email, and a clear statement that you decline arbitration.
The Service depends on third-party services including but not limited to Kalshi (market data and trade execution), Open-Meteo (weather data), Anthropic (AI features), Clerk (authentication), Stripe (billing), Railway (hosting), and Resend (email). Stumptown Ventures LLC is not liable for any failure, outage, rate limiting, data inaccuracy, API change, deprecation, or discontinuation of any third-party service.
You acknowledge that Kalshi may modify its API, market rules, contract specifications, fee structures, or terms of service at any time, and that such changes may render features of the Service temporarily or permanently unavailable. Stumptown Ventures LLC shall have no liability for any such changes.
Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control, including but not limited to: natural disasters, pandemics, government actions, regulatory changes, exchange outages, API failures, cyberattacks, internet disruptions, power failures, or changes to Kalshi's terms of service, API, or market rules.
The Service, including all software, algorithms, scoring models, scanner logic, AI models, and content, is the proprietary property of Stumptown Ventures LLC. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal use during your subscription period.
You may not: (a) reverse engineer, decompile, or disassemble the Service; (b) resell, sublicense, or redistribute scanner results, AI outputs, or analytics; (c) use the Service to build a competing product or service; (d) scrape or bulk-extract data from the Service; (e) use automated tools to access the Service except as expressly permitted; or (f) remove or alter any proprietary notices.
If you believe content on the Service infringes your copyright, send a DMCA notice to hi@predictionpilot.io with the required statutory elements under 17 U.S.C. § 512(c)(3).
We may suspend or terminate your account at any time for any reason, with or without notice, including for violation of these Terms. You may cancel your account at any time by contacting us. Upon termination: (a) your license to use the Service immediately terminates; (b) your API credentials will be deleted from our systems; (c) you may export your data before termination upon request.
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions. To the extent litigation is permitted under these Terms, exclusive jurisdiction and venue shall be in the state or federal courts located in Multnomah County, Oregon.
We may modify these Terms at any time by posting updated Terms on the Service. Material changes will be notified via email at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to modified Terms, your sole remedy is to cancel your subscription and stop using the Service.
If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect. Sections relating to limitation of liability, disclaimer of warranties, indemnification, arbitration, intellectual property, risk disclosure, and governing law shall survive termination of these Terms and your account.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stumptown Ventures LLC regarding the Service and supersede all prior agreements, representations, and understandings.
