Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Prediction Pilot platform ("Service") operated by Stumptown Ventures LLC ("Company", "we", "us"), a limited liability company organized under the laws of the State of Oregon, United States.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Prediction Pilot is an automated trading tool that allows users to configure parameters for placing trades on the Kalshi prediction market exchange. The Service provides:

Paper trading (simulated) using virtual funds
Live trading (paid plans) using real funds via your Kalshi account
A dashboard for monitoring trades, performance, and configuration

2. Not Financial Advice

The Service does not provide financial advice, investment advice, trading advice, or any other form of professional advice. All trading parameters, strategies, and configurations are set by you. We do not recommend any specific trading strategy. Past performance, whether simulated or real, does not guarantee future results.

You are solely responsible for your trading decisions and any resulting gains or losses.

3. Eligibility

You must be at least 18 years old and legally able to enter into contracts in your jurisdiction. You must comply with all applicable laws regarding prediction market trading, including but not limited to CFTC regulations governing Kalshi.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You must provide accurate and complete information when creating your account.
You must notify us immediately of any unauthorized use of your account.

5. Kalshi API Credentials

To use live trading features, you must provide your Kalshi API key and private key. These credentials are:

Encrypted using AES-256 (Fernet) before storage
Used exclusively to communicate with the Kalshi API on your behalf
Never shared with third parties, logged in plaintext, or used for any purpose other than executing your configured trades

You are responsible for the security of your Kalshi credentials. We are not liable for unauthorized trades resulting from compromised credentials.

6. Risk Disclosure

Trading on prediction markets involves substantial risk of loss. You may lose some or all of your invested capital. Key risks include but are not limited to:

Market risk: prediction market prices can move rapidly and unpredictably
Execution risk: trades may not execute at expected prices due to market conditions
Technology risk: software bugs, API outages, or connectivity issues may affect trade execution
Configuration risk: incorrect parameter settings may result in unintended trades

You should only trade with funds you can afford to lose entirely.

7. Subscription and Billing

Free tier: paper trading only, no payment required
Paid plans: billed monthly via Stripe. You may cancel at any time.
Refunds: we do not offer refunds for partial billing periods.
Price changes: we may change pricing with 30 days' notice via email.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUMPTOWN VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR TRADING LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Stumptown Ventures LLC, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or that any specific trading outcome will be achieved.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may delete your account at any time by contacting us.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Multnomah County, Oregon.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.
